Good morning. My name is Debra Taylor and I'm an MD within Corporate Finance. I'm really pleased to have you joining our team and we are really looking forward to working with you. We are doing some work for a project for one of our clients, general Dynamics, and I'd like your help running some analysis. General Dynamics is a global aerospace and defense company with major operations in aerospace, marine systems and combat systems technologies. Now they're looking at potential acquisition targets and have identified L three Harris Technologies as one option. There would be strong strategic overlap as L three. Harris provides communication systems, technologies using combat systems, aviation systems, and cyber intelligence, and their largest customer is the US government. Now, in terms of your task for today, I would like you to run some m and a analysis, which allows you to identify the most appropriate financing structure for the deal.
You'll need to bear in mind that management will only entertain deals that would be EPS accretive within the next two years. Also, the company needs to maintain its investment grade credit rating, so you should consider this when looking at the financing mix. One further request is that you identify any qualitative considerations or concerns regarding the deal that should be flagged to the management team.
Also, I've had a few discussions with management about the deal and they think the revenue and cost synergies could be significant. I've summarized their estimates along with some other assumptions that you should use in your analysis. In a memo, I've added this memo along with an Excel template to add teams shared drive.
